Oxford Lane Capital Corp. Prices Preferred Stock Offering

GREENWICH, CT -- (Marketwired) -- 05/29/14 -- Oxford Lane Capital Corp. (the "Company") (NASDAQ: OXLC) (NASDAQ: OXLCP) (NASDAQ: OXLCO) today announced that it has priced an underwritten public offering of 1,120,000 shares of its newly designated 8.125% Series 2024 Term Preferred Stock (the "Preferred Stock") at a public offering price of $25 per share, raising $28 million in gross proceeds. The Company has also granted the underwriters a 30-day option to purchase up to 168,000 additional shares of Preferred Stock on the same terms and conditions to cover over-allotments, if any. The closing of the transaction is subject to customary closing conditions and the shares are expected to be delivered on June 5, 2014. The Company has applied to list the Preferred Stock on the NASDAQ Global Select Market and expects trading to commence thereon within 30 days after June 5, 2014 under the symbol "OXLCN."

Ladenburg Thalmann & Co. Inc., a subsidiary of Ladenburg Thalmann Financial Services Inc. (NYSE MKT: LTS), and Deutsche Bank Securities Inc. are acting as the joint bookrunning managers for the offering. BB&T Capital Markets, a division of BB&T Securities, LLC, BTIG, LLC, Incapital LLC, Maxim Group LLC and MLV & Co. are acting as co-managers for the offering.
